Jonathon Vinocur is a partner in the Early Stage & Emerging Companies group at Thompson Hine LLP. He spends all of his time working with high-growth technology companies and their investors. Most recently, Jonathon spearheaded the firm’s QuickLaunch release, which not only assembles a number of legal services needed by early- and growth-stage companies into packaged bundles but does away with the hourly rate model by publishing fixed prices for those packages via the QuickLaunch website.
Jonathon advises company-side clients from their pre-startup stages, through formation and funding, to exit, and he specializes in preserving value for founders where excessively complex capitalization structures need to be reconciled with investors’ return objectives. The companies with which Jonathon works are primarily software, hardware and medical device companies that sell into a wide array of industries.
The day-to-day work Jonathon handles on behalf of his startup company clients has given him an in-depth understanding of the various equity incentive structures instituted as these companies contemplate how best to compensate their growing teams. He also has extensive experience with SaaS-based pricing models and has worked closely with his growth-stage clients on their customer contracting practices.
On the investor side, Jonathon regularly represents venture capital funds, economic development organizations, angel investors and public and private companies that make venture-style investments. In these instances, he works to preserve the investors’ value proposition without disrupting what will be the foundations of their relationships with their portfolio companies going forward.
Jonathon is asked frequently to present on various legal topics of interest to startups. He also is asked to advise economic development organizations on their investment structures and public and private companies on their corporate innovation and venture development strategies.
Jonathon received a B.A. from The Ohio State University and a J.D. from Case Western Reserve University School of Law and has been awarded several professional distinctions, including Lawyer of the Year for Venture Capital in 2019 and 2021 by The Best Lawyers in America
