Law and Capital Markets @ Ohio State is a program of The Moritz College of Law at The Ohio State University. The nonpartisan program aims to further the study of capital markets and corporate law. The program hosts multiple events throughout the year in Columbus and key financial centers. These events generate open and vigorous exchange about the leading problems and issues dealmakers face and are commonly co-sponsored by private organizations.
SHAREHOLDER ROUNDTABLE: INCENTIVES FOR ACTIVIST BOARD NOMINEES

The issue of incentives provided by activist shareholders to entice prospective board members in proxy contests has generated a great deal of attention recently. Many institutional investors have expressed interest in better understanding the motivations behind such incentives, and in determining if and how such incentives can be structured to ensure that they are in the best interests of all shareholders.
TIAA-CREF, The Ohio State University Law and Capital Markets program, and the Widener Institute of Delaware Corporate and Business Law are therefore sponsoring a shareholder roundtable which will focus on incentives for activist board nominees. While a limited number of academics and advisers will be on hand to help introduce topics and guide the discussion, the goal of this event is to provide a forum for actual dedicated investors to weigh in on the issues and lay out the guidelines they expect activist investors to follow. Discussion segments will include:
